These Terms of Service ("Terms") govern access to and use of the kronical website, products and services, including the application available at app.kronical.ai (together, the "Service"). By creating an account, starting a free plan, subscribing, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity and "you" refers to that entity.
The Service is operated by Kronical AI Ltd (company number 16745932) with its registered office at 9 Grosvenor Hill Court, 15 Bourdon Street, London, England, W1K 3PX ("kronical", "we", "us", "our").
1A.1 Any list of features, labels, sections, output types, integrations, or examples in these Terms (including in the Disclaimer incorporated by reference) introduced by words such as "including", "such as", "for example", or similar wording is illustrative and not exhaustive. The clause containing the list applies to anything of the same kind as the items named, whether or not specifically listed.
1A.2 The Service evolves and may use additional, different, or renamed labels for the same or similar functionality. Such labels are covered by these Terms in the same way as those expressly named, and any reference to a specific output, label, or feature should be read to include any similar output, label, or feature however described.
1A.3 New features, integrations, capabilities, or outputs may be added to the Service that are not specifically named in these Terms. Where this is the case, the rights, responsibilities, and disclaimers in these Terms apply to those new additions by analogy with the most similar named feature, read in light of the purpose of the relevant clause. This is an interpretation rule only; it does not expand our rights or dilute yours. Material changes to the Service or to these Terms remain governed by clause 19 (Changes to these Terms).
2.1 You must be at least 18 years old and able to form a binding contract to use the Service.
2.2 You must provide accurate and complete information and keep it up to date.
2.3 You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately if you suspect unauthorised use.
2.4 You are responsible for ensuring that your access to and use of the Service is lawful in your jurisdiction, including any rules that apply to financial information, market data, or related services.
2.5 Nothing in these Terms limits or excludes any rights you may have under applicable consumer protection laws.
3.1 The Service organises, summarises and highlights developments from third-party sources and may generate summaries, briefings and context using automated systems, including artificial intelligence.
3.2 The Service is provided for general informational purposes only. kronical does not provide investment advice, financial advice, trading advice, legal advice, tax advice, or any other professional advice. For more detail, you should review our Disclaimer (No Financial Advice), which applies to your use of the Service.
3.3 Nothing on the Service constitutes (or should be treated as) a recommendation, endorsement, offer, solicitation, or invitation to buy, sell, or hold any security, asset, or financial product, or to engage in any investment strategy.
3.4 kronical does not provide personal recommendations, "investment research" intended to advise on the merits of any particular transaction or financial instrument, or opinions intended to advise you on the merits of any particular transaction, security, or strategy.
3.5 References within the Service to "context", "background", "state of play", "key developments", "recent developments", "analysis", "why it matters", "why this matched", "implications", "brief", "morning brief", "signal", "conviction" or "radar" outputs, or any similar labels, sections, features, or explanations, however described, are general informational commentary only. They may include scenario-based discussion, prioritisation across the tickers, sectors and themes covered by your team of agents, or possible consequences, but they are not instructions, recommendations, or a personal recommendation to take (or refrain from taking) any action.
3.5A The Service relies on automated systems, including artificial intelligence, which can produce unintended outputs - including fabricated information, confidently stated errors, and text that reads as a personal recommendation or as an instruction to buy, sell, hold, or take any other action. The Service is designed not to produce such outputs, but they cannot be fully prevented. Any such output is not intended as advice, instruction, or a recommendation, regardless of how it is phrased, and clauses 3.2, 3.3, 3.5 and 3.7 apply to it in full.
3.5B The Service includes conversational features (including Ask) that allow you to put questions to kronical in plain English. Responses are general informational commentary only and are produced on the same basis as the rest of the Service. They are not personal recommendations, not investment advice, and not instructions to buy, sell, or hold any security, asset, or financial product, regardless of how a question is phrased. If you ask a question about a specific position, trade, or what you should do, the Service is designed not to answer that question on its merits; it will decline to give a directional answer and may instead describe what has recently changed for the relevant ticker, sector, or theme. Any directional, advisory, or recommendatory language that nevertheless appears in a response is unintended, is not advice, and clauses 3.2, 3.3, 3.5 and 3.7 apply to it in full.
3.6 Any personalisation (for example based on the tickers, sectors and themes covered by your team of agents, Radar rules, Conviction reasons, topics, searches, sources, or filters you select) is for relevance only and does not consider your financial situation, objectives, or suitability.
3.7 You are solely responsible for any decisions you make based on information obtained through the Service and should independently verify any information before acting on it.
3.8 Timing and delays. The Service may not operate in real time. Content, alerts and outputs may be delayed, incomplete, or unavailable and you should not rely on the Service as your sole source of time-sensitive information.
4.1 The Service may reference, link to, or ingest information from third-party websites, platforms and data sources ("Third-Party Sources").
4.2 Third-Party Sources are not under our control. We do not guarantee their accuracy, completeness, availability, legality, or timeliness.
4.3 We may add, remove, or change Third-Party Sources at any time.
5.1 The Service allows you to connect third-party services as "Integrations" (for example, Telegram, Discord, Slack, Notion, Google Sheets, or Polymarket) and to build "Custom Agents" - workflows you describe in plain English that use Integrations to send, receive, or act on information on your behalf.
5.2 Depending on the Integration and how you configure it, kronical may transmit data to the third-party service, retrieve data from it, or both. By connecting an Integration or configuring a Custom Agent, you authorise kronical to exchange data with the relevant third-party service on your behalf, in line with the workflow or Custom Agent you have set up.
5.3 Integrations connect you to third-party services we do not control. Their availability, behaviour, terms of service, and privacy policies are their own responsibility and apply independently of these Terms.
5.4 You are responsible for ensuring your use of any Integration or Custom Agent complies with the relevant third party's terms and with any applicable laws, and for any consequences of data exchanged with that third party or of actions a Custom Agent takes on your behalf.
5.5 Integrations and Custom Agents are intended for notification, communication, workflow, annotation, monitoring, and information-exchange purposes (for example, messaging, collaboration, documentation, charting, or prediction-market context). They are not intended for, and kronical does not authorise, support, or endorse, the use of Integrations or Custom Agents to automatically execute trades or place orders in brokerage, exchange, or execution-venue accounts.
5.6 If you configure an Integration or Custom Agent, or use kronical's API or MCP server, to automatically trigger trades, orders, or other financial transactions, you do so entirely at your own risk and on your own responsibility. You are solely responsible for ensuring that such use complies with all applicable laws and regulations in your jurisdiction, and you acknowledge that kronical is an information service and is not acting as your broker, adviser, or agent in respect of any such trade or transaction.
5.7 Where an Integration connects you to, or the Service displays data from, a prediction-market or event-contract venue (including Polymarket), the regulatory treatment of those venues varies significantly by jurisdiction and is your responsibility to determine before use. The prediction-markets and event-contracts section of the Disclaimer applies to any such Integration or displayed data, in addition to the rest of this Section 5.
6.1 Separately from Integrations, the Service offers a Model Context Protocol (MCP) server. You take a kronical API key and connect it to your own AI assistant (for example, Claude, ChatGPT, Gemini, or any other AI system you authenticate). Your AI assistant then queries kronical on your behalf. kronical is the data source; your AI assistant is the actor.
6.2 When you connect an AI assistant to our MCP server, you are responsible for that assistant's use of the Service under your account, including any queries it makes, the use it makes of any data returned, the answers it produces from that data, and any decisions you take based on its outputs. The AI assistant you connect operates under your control; kronical does not direct, supervise, shape, or take responsibility for its decisions or outputs.
6.3 The provider of any AI assistant you connect (for example, Anthropic, OpenAI, Google) operates under its own terms and privacy policy, which apply independently of these Terms.
6A.1 The Service uses artificial intelligence to read, summarise, rank, classify, prioritise and generate context around third-party information. AI is involved in producing most outputs you see, including briefings, signals, conviction reasons, radar matches, tags, and any text labelled as background, analysis, implications, or any similar feature, label or output, however described.
6A.2 AI systems have known limitations that cannot be fully engineered out. They can fabricate facts, numbers, names, dates, sources and quotations that appear plausible but are not real. They can state errors with confidence and without warning. They can produce text that reads as directive, advisory, or recommendatory - including language that sounds like an instruction to buy, sell, hold, or take any other action - even where the Service is designed not to produce such language. They can misinterpret source material, miss important context, or weight items in ways that do not reflect their real-world significance.
6A.3 kronical designs, prompts and constrains the Service to minimise these behaviours and to keep outputs informational. We cannot guarantee that every output will conform to that design. Any output that reads as advice, instruction, or a recommendation is not intended as such, regardless of how it is phrased, and clauses 3.2, 3.5 and 3.7 of these Terms apply to it in full. You remain solely responsible for verifying information and for any decisions you take.
7.1 We offer a free plan with limited features, capacity and usage ("Free Plan"). We may also offer free trials, beta access, or evaluation access of paid features ("Trial Access"). Free Plan and Trial Access may be limited in time, features, seats, or usage.
7.2 Free Plan and Trial Access are provided "as is" (to the fullest extent permitted by law) and may be modified, suspended, or withdrawn at any time. We do not guarantee that features, data, outputs, or availability will continue unchanged.
7.3 We may update, change, suspend, or discontinue any part of the Service at any time, including features, sources, models, limits, or pricing, for operational, legal, or commercial reasons.
8.1 Kronical AI Ltd is the seller and Merchant of Record for paid subscriptions to the Service. We are responsible for receiving payments, applying any taxes payable on the sale, and handling refunds and chargebacks in connection with your subscription. Payment processing is carried out by our current payment processor, which is identified at checkout.
8.2 If you purchase a subscription, you agree to pay the total price shown at checkout. The price shown at checkout includes any applicable taxes calculated based on your location at the time of purchase.
8.3 Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. If you cancel, you will continue to have access until the end of your current billing period and you will not be charged again unless you re-subscribe. You can cancel through your account settings or by contacting [email protected].
8.4 Except where required by law (including under Section 9 below), fees are non-refundable. If we provide a discretionary refund, this does not create an obligation to provide refunds in the future.
8.5 We may change subscription fees or plan features with reasonable notice. If you do not agree to a fee change, you may cancel before it takes effect.
8.6 We do not store your full payment card details. Card data is collected and processed by our current payment processor, identified at checkout.
9.1 If you are a consumer resident in the United Kingdom or the European Union purchasing a paid subscription, you have a statutory right to cancel within 14 days of purchase and receive a refund, subject to the conditions below.
9.2 Because the Service is digital content made available immediately on subscription, you agree that by starting to use the Service (for example, by logging in, viewing content, or configuring agents) within the 14-day period, you expressly request immediate performance and acknowledge that you lose your right of withdrawal once performance has begun.
9.3 If you have not used the Service within 14 days of purchase, you may cancel and receive a refund by contacting [email protected]. Nothing in these Terms removes or limits any statutory right you may have that cannot be excluded or limited by contract.
10.1 You agree not to (and not to permit anyone else to) use the Service in any way that violates applicable laws or regulations.
10.2 You agree not to use the Service to provide regulated financial services, market manipulation, unlawful trading, or any other unlawful activity.
10.3 You agree not to copy, scrape, crawl, or harvest data from the Service using automated means except where expressly permitted by us in writing or where such access occurs through the MCP server in accordance with Section 6.
10.4 You agree not to reverse engineer, decompile, disassemble, or attempt to discover the source code, models, or underlying methods of the Service, except to the extent permitted by law.
10.5 You agree not to circumvent access controls, security measures, or rate limits.
10.6 You agree not to share accounts, resell access, or allow unauthorised users to access the Service.
10.7 You agree not to use the Service to build or train competing systems, models, or datasets, except where expressly permitted by us in writing.
10.8 You agree not to upload, transmit, or introduce viruses, malware, or other harmful code.
11.1 We (and our licensors) own all rights, title and interest in and to the Service, including software, models, prompts, workflows, design, branding and all related intellectual property.
11.2 Subject to these Terms and your payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal use only.
11.3 You may not reproduce, distribute, publicly display, sell, rent, lease, sublicense, or create derivative works from the Service except as expressly permitted by these Terms.
12.1 You may submit inputs, preferences, queries, saved searches, notes, Radar rules, Conviction reasons, or other content to the Service ("User Content"). You retain ownership of your User Content.
12.2 You grant us a worldwide, non-exclusive licence to host, process and use User Content solely to provide, maintain and improve the Service.
12.3 If you provide feedback or suggestions, you grant us the right to use them without restriction or compensation.
13.1 Our Privacy Policy explains how we collect and use personal data. By using the Service, you acknowledge our Privacy Policy.
13.2 You are responsible for ensuring you have the right to provide any personal data you submit to the Service.
13.3 We process personal data in accordance with applicable data protection laws, including the UK GDPR and EU GDPR where applicable. For details, see our Privacy Policy.
13.4 Data Processing Addendum (DPA). If you are using the Service on behalf of an organisation and a data processing agreement is required under applicable data protection law or your organisation's policies, a data processing addendum ("DPA") may be made available. Any DPA will apply only if agreed in writing by both parties and only to the extent we process personal data on your behalf as a processor.
14.1 We take reasonable measures to protect the Service, but no system is completely secure.
14.2 The Service may be unavailable or interrupted and we do not guarantee uptime, uninterrupted access, or error-free operation unless expressly agreed in writing.
15.1 The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
15.2 Outputs (including briefings, alerts, prioritisation, labels, rankings, "key developments", "implications" and any similar outputs, sections, features or labels however described) and related commentary may be incomplete, inaccurate, misleading, delayed, or out of date. You should independently verify information before acting on it.
16.1 Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, and (where you are a consumer) any statutory rights you have that cannot be excluded by contract.
16.2 Subject to clause 16.1, to the maximum extent permitted by law, kronical will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, trading losses, loss of opportunity, loss of data, or business interruption, arising out of or related to your use of (or inability to use) the Service.
16.3 Subject to clause 16.1, our total liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the amounts paid by you to us in the 12 months preceding the event giving rise to the claim, or (b) £100.
17.1 We may suspend or terminate your access immediately if we reasonably believe you have violated these Terms, pose a security risk, or create legal risk for us.
17.2 You may stop using the Service at any time. If you cancel a subscription, your cancellation will take effect at the end of your current billing period and you will retain access until then, unless required otherwise by law or Section 9.
17.3 Upon termination, your right to use the Service stops. We may delete your data in accordance with our Privacy Policy and any applicable law.
You agree not to use the Service in violation of applicable export control laws or sanctions, including those of the UK, US, EU, or other applicable jurisdictions.
We may update these Terms from time to time. If changes are material, we will provide reasonable notice (for example, via the Service or by email). Continued use after the effective date means you accept the updated Terms.
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms, except where mandatory local law requires otherwise.
If you enter into a separate written enterprise agreement with kronical (such as an MSA, Order Form, or SOW), that agreement will govern to the extent it conflicts with these Terms.
kronical may enter commercial agreements with third parties to provide content, data, or intelligence to those parties for use in their own products and services. Where kronical's content is distributed through a partner platform, the relationship between the end user and that platform is governed by the partner's own terms. kronical does not enter into a direct contractual, advisory, or fiduciary relationship with users of such partner platforms by virtue of such distribution. kronical's content remains subject to the kronical Disclaimer regardless of the platform through which it is delivered.
